BOARD OF VISITORS MEETING
25 September 1993
A special meeting of the VMI Board of Visitors was held at the office of McGuire, Woods, Battle, and Boothe, in Richmond, Virginia, at 11:45 A.M. on Saturday, 25 September 1993, pursuant to notice.

1. Dr. Sadow presided and Col. Dooley recorded the minutes of the meeting.

2. Mr. Cameron made a motion, seconded by Mr. Roberts, that the Board of Visitors consents to the granting of an easement by the Rockbridge County Board of Supervisors to George P. and Patricia M. Neofotis across certain property owned by Rockbridge County which fronts on State Route 9364, and that the Superintendent is hereby authorized to do all things necessary to bring about the execution of said easement. The motion passed.

3. At 11:52 A.M., a motion was made by Ms. Webster, seconded by Mr. Brooks, that the Board enter into executive session pursuant to Section 2.1-344, Paragraph 7, of the Code of Virginia, for the purpose of consultation with legal counsel pertaining to actual litigation. The motion passed.
Messrs. Boland, Maini, Strickler and members of the press withdrew from the meeting.

4. At 2:00 P.M. Dr. Sadow instructed the Secretary to let the record show that the Board reconvened in open session, pursuant to Section 2.1-344, Paragraph 7, of the Code of Virginia, having consulted with legal counsel pertaining to actual litigation.

6. On motion of Mr. Baumgardner, seconded by Mr. Saunders, the Board unanimously passed the following resolution:
CERTIFICATION OF EXECUTIVE MEETING
WHEREAS, the Board of Visitors of the Virginia Military Institute has convened an executive meeting on 25 September 1993, pursuant to an affirmative recorded vote and in accordance with the provisions of The Virginia Freedom of Information Act; and
WHEREAS, Chapter 2.1-344.1 of the Code of Virginia requires a certification by the Board of Visitors of the Virginia Military Institute that such executive meeting was conducted in conformity with Virginia law; NOW, THEREFORE, BE IT RESOLVED that the Board of Visitors of the Virginia Military Institute hereby certifies that, to the best of each member's knowledge, (i) only public business matters lawfully exempted from the open meeting requirements by Virginia law were discussed in the executive meeting to which this certification resolution applies, and (ii) only such public business matters as were identified in the motion convening the executive meeting were heard, discussed, or considered by the Board of Visitors of the Virginia Military Institute.

9. At 2:40 P.M., a motion was made by Mr. Saunders, seconded by Mr. Brooks, that the Board enter into executive session pursuant to Section 2.1-344, Paragraph 7, of the Code of Virginia, for the purpose of consultation with legal counsel pertaining to actual litigation. The motion passed.

10. At 4:28 P.M. Dr. Sadow instructed the Secretary to let the record show that the Board reconvened in open session, pursuant to Section 2.1-344, Paragraph 7, of the Code of Virginia, having consulted with legal counsel pertaining to actual litigation.

12. On motion of Ms. Webster, seconded by Mr. Roberts, the Board unanimously passed the following resolution:

13. A motion was made by Mr. Baumgardner, seconded by Mr. Jones, that (1) the Board of Visitors of VMI approve the proposed plan to create the Virginia Women's Institute for Leadership at Mary Baldwin College, and (2) that it direct its counsel to file the Plan, in substantially the same form as presented to the Board, in the United States District Court for the Western District of Virginia. The motion passed unanimously.

14. A motion was made by Mr. Roberts, seconded by Ms. Webster, stating: "To facilitate and promote the development of the Virginia Women's Institute for Leadership (VWIL) program, there be established the Task Force on the VWIL. This Task Force shall establish in conjunction with the administration of Mary Baldwin College a timetable for programmatic development and a schedule for periodic reporting to the Task Force on programmatic development progress and expenditures. The Task Force shall be composed of two designees of the Board of Visitors of the Virginia Military Institute and two designees of the Board of Trustees of Mary Baldwin College. We request Governor L. Douglas Wilder to designate five appointees. All appointees will serve until the termination of the Task Force upon the effective date of the contract for services with the Commonwealth of Virginia for the VWIL." The motion passed unanimously.

A motion was made by Mr. Baumgardner, seconded by Mr. Brooks, that the Board of Visitors of the Virginia Military Institute consent to the Agreement between the VMI Foundation, Incorporated, and Mary Baldwin College providing funding for the Plan. The motion passed unanimously.

16. Dr. Sadow expressed his appreciation to all present for their contributions in the interest of the two institutions and of the Commonwealth of Virginia.

17. There being no other business to come before the Board, the meeting was adjourned at 4:35 P.M.
